Nintendo: proposals for the 76th Annual General Meeting of Shareholders

The 76th Annual General Meeting of Shareholders of Nintendo Co., Ltd will be held on June 29th, at 10AM JST. The main goal of this meeting is to report the Consolidated Financial Statements for the past Fiscal Year, but also to have shareholders vote on several key proposals (including the election and re-election of the Directors).

NINTENDO_LOGOIn the convocation notice published today on the company’s website, the proposals for the meeting were announced. They are as follows:

  • Proposal No. 1: Distribution of Surplus (how the company will use the money earned during the past Fiscal Year)
  • Proposal No. 2: Partial Amendment to the Articles of Incorporation
  • Proposal No. 3: Election of Five Directors
  • Proposal No. 4: Election of Four Directors Who Are Audit and Supervisory Committee Members
  • Proposal No. 5: Determination of Compensation Payable to Directors (Excluding Directors Who Are Audit and Supervisory Committee Members)
  • Proposal No. 6: Determination of Compensation Payable to Directors Who Are Audit and Supervisory Committee Members

The most important is the third one: the election of Five Directors. Or rather, the re-election:

  • Tatsumi Kimishima (Director and President, Representative Director)
  • Genyo Takeda (Technology Fellow)
  • Shigeru Miyamoto (Creative Fellow)
  • Genyo Takeda (General Manager of the Entertainment Planning & Development Division, Supervisor of Business Development Division, Development Administration & Support Division.
  • Shuntaro Furukawa (new candidate, currently General Manager, Corporate Planning Department)

The past few months have seen some important changes at Nintendo, including the launch of the very first app on smart devices (Miitomo), but with even more to come before the end of the year (the 4 other mobile apps, the NX platform, and more). The re-election of the Directors will be a way to see how many shareholders approve of them, and how many are disastified with the current direction of the company.

There will also be a Q&A session, though we should not be expecting any announcement from that (let alone major ones).
